Invitation to attend the first meeting of the shareholders ordinary general assembly.

Messrs The Union Construction and Investment UCI's shareholders

In accordance with the approval of the board of directors and in view of the continued closure of the border crossings resulting in failure to have a quorum, we are pleased to invite you to attend the first meeting of the shareholders' ordinary general assembly due to be held at 6 pm on 04/03/2007 at the UCI's liaison office in Cairo " Try Tech company " at the following address:
96, Nile Cornish street - pearl towers – 14th floor.

The following agenda will be discussed:

listening to the previous minutes.

listening to the report of the chairman of the board of directors for the fiscal year 2006.

listening to the auditor's report .

Approving the general budget and the closing accounts for the fiscal year 2006 and releasing the members of the board of directors from their obligations .

Electing auditors for the fiscal year 2007.

Any new topics as agreed on by the general assembly

In case you are unable to attend this meeting please sign the attached letter of attorney and hand it over to one of the corp.'s offices in Ram Allah – Gaza or send it by fax No. 02-2400624.

Shareholders coming as representatives of companies or public establishments are kindly requested to bring with them an official representation letter approved by their companies or establishments in the name of the person authorized to attend the meeting on their behalf.
